Axway announces intent to acquire Vordel

Why has Axway acquired Vordel?
The dynamics and expectations of integration in the IT department have been changing for years. Now this change is accelerating due to converging forces comprised of Big Data, Cloud services, Mobile devices, and Social collaboration. In addition, there are new business demands around unstructured data, BYOD trends, and SaaS. Currently these demands are poorly met through a variety of disconnected and ungoverned systems.

With the acquisition of Vordel, Axway now leads the market for integration capabilities necessary to meet the changing needs of IT, whether they be file, message, API or web service, cloud or ground or on mobile devices. Complex integration patterns can be delivered and governed from one solution, hybrid infrastructures can become a reality, and legacy applications can be leveraged to the cloud and mobile devices.

The products and technologies of Axway and Vordel clearly complement each other. The Vordel API Server provides key capabilities that expand the capabilities of the Axway Suite in the areas of identity, security, and visibility. It also provides a foundational technology for future cloud offerings. The acquisition of Vordel accelerates Axway's time to market with these key capabilities and provides an influx of technical knowledge in the areas of Cloud and Mobile to complement the existing Axway expertise.


How does this announcement affect Vordel's current customers?
The Vordel API Server and associated products continue to be enhanced and sold as standalone offerings. Vordel customers should see no changes in how Vordel conducts our day-to-day business; Vordel's customary world-class levels of service and support will continue to be delivered by the same personnel. Ultimately Vordel's customers will benefit from the increased financial stability that Axway brings, along with an enhanced global delivery and support infrastructure. Axway has over 1,700 employees located in more than 20 countries worldwide.

In the near future Vordel customers will also be able to benefit from access to a complete integration suite that includes Axway's industry leading B2B, Managed File Transfer and visibility solutions.

What plans exist for product roadmap?
Vordel will continue to expand and extend the range of features that our leading-edge technology has brought to API Management, Cloud Service Brokerage and SOA-based integration. Axway is committed to leveraging the capabilities of the Vordel products and technologies to further enhance and extend the Axway Suite offerings. This will accelerate Axway's time to market for key features of the Axway Suite and also provide a foundational base for current and future cloud offerings.

As in previous acquisitions, Axway has a history of integrating offerings in a Suite-like way, adding value by being part of a Suite of additional integration and governance offerings, while maintaining product level roadmaps, deployment capabilities and continued investment. We fully expect this will also be the case with the Vordel products & solutions.

Does my support change?
For the immediate future, nothing will change in how Vordel customers receive support. You will continue to contact the support team in the same way that you currently do and you will receive the same exemplary support and guidance. Over time, Vordel customers will benefit from the single point of contact for all support related issues and from the 'follow the sun' and mission critical support offerings that Axway customers experience today.

Will pricing change on any products?
We don't anticipate any immediate price or licensing changes.

Do Axway and Vordel have customers in common?
Yes, there are a number of mutual customers in industries where both firms have a well established user base. These include Banking, Financial Services, Automotive, Logistics and the Public Sector.

Does this affect any of the current partners and resellers from Axway and Vordel?
The only changes should be positive, as both companies recognize the importance of Vordel's Partner relationships. Vordel Partners can have the opportunity to sell an expanded set of product, solutions and services. Current system integrator partners will enjoy more complementary components to deliver better, more complete integration solutions to their customers. For existing OEM relationships there will be no overlap.

What happens to our individual partner program status and contract with Vordel?
Vordel Partners should not experience any change in the near term.

Are there be any changes to pricing and margins under the current Vordel contract?
No. At this time there will no changes to pricing and margins for Partners under the current Vordel contract.

Are there be any changes to the sales process and the manner in which new customers are implemented?
No. It's business as usual and we mean it. For the foreseeable future, resellers will continue ordering the Vordel products as before, through normal channels. All new customer orders will be processed and implemented in the same manner as before.

What will happen to the Vordel brand, website, etc.?
The Vordel website will continue indefinitely, but will be co-branded. Over time, Vordel collateral will eventually fall under the Axway brand.

Will Vordel employees be going to Axway?
Absolutely. Axway is very excited to add the Vordel team to its expanding workforce worldwide. They are talented, passionate and completely aligned with the culture and values of Axway.

What impact will the acquisition have on the Vordel product portfolio and roadmap?
The Axway and Vordel markets and product portfolios are extremely complementary. And while there is a goal for portfolio integration for the benefit of our customers, we recognize that there is a very robust and growing market for API Server and Identity middleware products and solutions. Vordel products will benefit from maintaining product level roadmaps, deployment capabilities and continued investment.

Will Vordel continue to service customers in existing geographical and sectoral markets?
Absolutely. In fact, the merger with Axway ensures that Vordel is better positioned to service our customers in all corners of the globe. The combined entity will have offices in over 20 countries around the globe, over 1700 employees and turnover of over €220m.
